A company's draft accounts carry a going-concern note: its trading depends on the bank renewing a US$4m facility that expires five months after the balance date. The auditor asks the bank for a letter confirming it intends to renew.
Going Concern and Bank Support
What the bank can say about next year, and what it cannot.
BY MICHAEL SHANG · SIXTEEN YEARS IN COMMERCIAL BANKING · UPDATED
// THE SHORT ANSWER
A business's accounts rest on the going-concern basis when it is expected to keep trading for the next twelve months, and for a borrower that often means the bank renewing a facility that expires inside them. The auditor asks the bank; the bank can say what is true — the facilities, their dates, that the account is within its terms, that the review is on its normal timetable and no decision has been made — but a promise to renew is a lending decision its committee has not taken. This page is what passes between the two, from the bank's side, and what each form of words is worth.

Every borrower on this site is a composite constructed for teaching, not a client. The market is mid-market commercial lending as practised in New Zealand and Australia; where a convention differs elsewhere, the page says so.

// 01 — WHAT GOING CONCERN RESTS ON, FOR A BORROWER
Accounts are prepared on the going-concern basis when the business is expected to keep trading through the next twelve months, and the basis is what lets its assets be carried at their ordinary values rather than at what a break-up sale would fetch. For a business that borrows, the twelve months usually contain a date the bank controls: a facility expiry, an annual review, a covenant test. The auditor has to form a view on whether the business will get past that date, and the only party who knows the bank's mind is the bank.
The glossary entry defines the basis; this page is the exchange of letters, from the side that writes the reply.
// 02 — THE REQUEST, AND THE HONEST ANSWER
The request arrives through the client, in a form of words that hopes for a promise: please confirm that the bank intends to renew the facility on expiry. The bank cannot write that sentence, because renewal is a lending decision and its committee has not met. What it can write is everything true about today, and a bank that is in good standing with its customer will write it readily:
Read the letter for exactly what it contains. "No current intention to withdraw" is a statement about today; "the review is scheduled for March" tells you when the decision will exist; neither commits the bank to anything in April. A letter that says less than this — balances only, or a referral to the facility agreement — is also information, and so is a letter that takes three weeks to arrive. What a bank will not do is pretend to a certainty it does not have, because the letter will be in a file that someone reads if the business fails.
// 03 — WHAT THE BANK IS ACTUALLY WEIGHING
Behind the letter is the review, and the review is where the real answer to the auditor's question is being formed. The bank is reading the same accounts for the year that has not happened: a forecast of cash against debt service in a flat year and a bad one, the covenants on the bank's own definitions, the security and what it would fetch, the conduct of the account since the balance date, and whether the business has been doing what it said it would. A business on the bank's watch list has a harder question in front of it than its own accounts show, and the auditor cannot see the watch list — but can see what the bank has started asking for.
That is the tell a reader on either side should look for. A bank that has moved to a weekly cash forecast, asked for a monthly pack where it took quarterly ones, added a condition at the last review, or passed the file to a different team, has told everyone who is watching what its letter will not say. Behaviour moves before words, on both sides of the file.

// 04 — WHEN THE ACCOUNTS SAY IT
Sometimes the auditor concludes that survival does depend on something uncertain, and the accounts say so in a paragraph. The bank reads that paragraph with a particular interest, because the uncertainty it names is often the bank itself. The circle is real: the business depends on the renewal, the renewal depends on the review, the review reads accounts that say the business depends on the renewal. The way out of it is not a letter but a decision, which is why the most useful thing a borrower can do with an expiring facility is to have the review done before the accounts are signed, not after.
And sometimes the bank is the first to know that the answer has changed — a facility not renewed, a line withdrawn by another lender — between the balance date and the signing. A lost facility is a fact about going concern wherever it falls in the calendar, and accounts signed without it were signed on an incomplete picture.

// STANDARDS THIS SITS BESIDE
The recognised ground this page sits beside. Each was opened and checked when cited; none is a source for the framework itself.
- International Auditing and Assurance Standards Board, ISA 570 (Revised 2024), Going Concern — release of April 2025 (effective for periods beginning on or after 15 December 2026) — The auditor must evaluate management's going-concern assessment whether or not doubts are identified, over a period of at least twelve months from the date the financial statements are approved, and communicate more clearly with external parties — sections 01 and 04.
- International Accounting Standards Board, Non-current Liabilities with Covenants (Amendments to IAS 1) — release of October 2022, effective 1 January 2024 — Debt is non-current only if the company can avoid settling it in the twelve months after the reporting date; covenants to be met after that date do not change the classification but must be disclosed — the date the bank controls in section 01.
- Australian Banking Association, Banking Code of Practice (2025) — paragraphs 93–94 — For a small business not in default, a subscribing bank gives at least three months' notice of a decision not to extend a loan not repaid by instalments, and need not extend on the same terms — why section 02's letter can state today's position but not promise the renewal.
// QUESTIONS PEOPLE ASK
- Will the bank confirm that it will renew the facility?
- Almost never in those words, because renewal is a decision its credit committee has not yet taken, and a relationship manager who promises it in a letter has promised something that is not theirs to give. What a bank will usually confirm is the position as it stands: the facilities and limits, the expiry dates, that the account is operating within its terms, that the review is on its normal timetable and that no decision has been made. Read that as the honest extent of what the bank knows, not as a refusal and not as a promise.
- What does a material uncertainty paragraph mean for the loan?
- That the auditor has concluded the business's survival for the next year depends on something not yet certain — very often the bank's own support — and has said so in the accounts. For the bank it is a signal rather than a verdict: it reads the paragraph, then its own file, and asks whether the uncertainty is the facility it controls or something it does not. A paragraph that names the bank's renewal as the uncertainty is a question addressed to the bank, and the bank's answer is the review itself.
- What is a letter of comfort?
- A statement of intention from a parent company or a lender that stops short of a binding commitment: the parent intends to support the subsidiary, the bank has no current intention to withdraw. Its value is exactly what its words say and no more; courts in several countries have held that a letter of comfort is not a guarantee. An auditor reads it as evidence of intention at a date, and a lender reading another lender's comfort letter reads it the same way.
- What should a borrower do if its facility expires inside the next year?
- Start the renewal early, so that the review is complete before the accounts are signed rather than scheduled after them — the single thing that most often removes the question. Bring the bank the forecast it will ask for, the covenant arithmetic on its definitions, and an honest account of the year. A borrower that arrives at the review with the auditor's question already answered has done the bank's work for it, and the letter that follows writes itself.
