Independent Legal Advice Certificate: What It Protects
The lawyer signs for what the guarantor understood.

// THE SHORT ANSWER
An independent legal advice certificate is a lender's evidence, held before it accepts a guarantee or third-party mortgage, that the person signing knew what they were agreeing to and chose it. The lender wants it most where the signer has little to gain from the loan: a partner who has no part in the business, say, or a parent backing a child's company, because those are the guarantees courts have set aside. The certificate does not make a guarantee valid. It gives the lender grounds to believe it is, and those grounds hold only as far as the lender told the lawyer the truth.
BASIS Practitioner judgment from sixteen years in commercial banking, set out in How Bankers Think (Highbank Press, 2026). Every borrower on this site is a composite constructed for teaching, not a client. The market is mid-market commercial lending as practised in New Zealand and Australia; where a convention differs elsewhere, the page says so.

// 01 — WHY A LENDER WANTS ONE
A guarantee can fail through someone else's wrong. A borrower who pressures a partner into signing, or tells them the debt is smaller than it is, has done the wrong, but courts in all three markets can set the guarantee aside against a lender that knew, or should have known, of the risk. In England and Wales, the House of Lords decided in 2001 that a lender is put on inquiry whenever the relationship between guarantor and borrower is non-commercial, and set out steps that satisfy the inquiry, ending with written confirmation from the guarantor's solicitor. The UK Supreme Court restated that test as a bright line in 2025 and applied it to a joint loan part of which paid off one borrower's own debts. In Australia, the High Court held in 1998 that a wife's guarantee could be set aside where she was a volunteer mistaken about its effect, the lender knew of the marriage, and the lender neither explained the transaction nor found out that someone independent had.
New Zealand courts apply the same equitable doctrines, undue influence and unconscionable dealing, to guarantees, and lenders there take the same kind of certificate. In each market it answers the question a court will ask: what did you do to make sure this person understood?
// 02 — WHAT THE LAWYER IS TOLD, AND WHAT THEY CERTIFY
The advice is only as good as the facts behind it, so the process starts with the lender. It sends the guarantor's lawyer the guarantee and any mortgage, the facility letter, the amount and purpose of the lending, what the borrower already owes and, with the borrower's consent, the financial information a guarantor needs to judge the risk. The lawyer meets the guarantor without the borrower present, explains what the document does and how far it reaches, including any future lending, sets out the risks and the right to refuse, and asks whether they wish to go ahead.
The certificate records that work: the documents explained, the debt and limit they cover, that the meeting was without the borrower, and that the guarantor appeared to understand and to sign freely. Policies differ on whether the lawyer may also act for the borrower; in England and Wales a solicitor may, if satisfied it is in the guarantor's interest and creates no conflict.
In Australia, the industry's Banking Code of Practice sets a process for the guarantees it covers, those given by individuals for loans to individuals or small businesses. The guarantee must carry a notice recommending independent legal and financial advice, and the bank may not accept it before the third day after the guarantor has the required information, an interval that ends early if the guarantor or their lawyer confirms that independent legal advice was received. That confirmation also lifts the Code's requirement for a meeting without the borrower present. Director and some other guarantors have their own exceptions.
// 03 — THE EXAMPLE
A building-supplies wholesaler, constructed for this page like every figure in it, asks for a larger facility. The bank wants a guarantee limited to US$900,000, plus interest and costs, from the owner's partner, who is not a director or shareholder, backed by a mortgage over the home they own together. The home is worth US$1.4m with a US$300,000 home loan against it.
In the first version, the bank's pack to the partner's lawyer includes the facility letter, two years of accounts, and the fact that the existing overdraft is running above its limit. The lawyer meets the partner alone, explains that the limit could take most of their equity, and signs the certificate. Two years later the wholesaler fails and the bank demands US$900,000. The partner says the owner pressured them to sign. The bank has a strong answer: it took the steps, and if the advice fell short, the partner's claim lies against the lawyer.
In the second version, the pack left out that the overdraft was over its limit and that the bank had already written to the wholesaler about a covenant breach. The certificate looks identical. But the lawyer was explaining a risk the bank knew to be larger than the papers showed, and a court may hold that the bank cannot rely on advice given on facts it withheld. Up to US$900,000 of recovery was decided in the week the pack was sent.
// 04 — WHAT IT IS NOT: ADVICE ON THE BUSINESS
The certificate is easily taken for comfort it does not give. It confirms that the guarantor understood the document's legal effect. It does not confirm that the business can repay, or that the guarantor can afford to lose the amount. That is financial advice, a separate question, which is why Australia's Code recommends both. A clause in which the guarantor acknowledges having had the chance to take advice is less again: it records an opportunity, not advice.
Nor does the certificate cure the bank's own conduct. A lender that misdescribes the facility to the guarantor itself, or presses for a signature, is answerable for that whatever the lawyer later certifies.

// 05 — WHERE IT DECIDES A FILE
It is a condition precedent, and the person ticking it reads more than the signature. The certificate should name the guarantor and the documents actually signed, carry the right limit, show that the advice came before the signature, reach the lender before it accepts the guarantee, and come from a lawyer acting for the guarantor on the terms the lender's policy requires. The file should show what the lawyer was sent, because that is the record a court will ask for.
It matters again when the guaranteed lending changes. A limited guarantee whose limit is raised, or an all-monies guarantee about to reach a new facility, is when many lenders ask for fresh advice and a fresh certificate, because the guarantor who disputes enforcement is usually the one who learns late what the guarantee had come to cover.

- Australian Banking Association, Banking Code of Practice (effective 28 February 2025) — paragraphs 100, 103, 109–113 and the definition of Guarantor — For individual guarantors of loans to individuals or small businesses, requires a notice recommending independent legal and financial advice, a meeting without the borrower present and a wait until the third day after disclosure; confirmation of independent legal advice lifts the meeting and the wait, not the notice — section 02 and the FAQ.
- UK Supreme Court, press summary of judgment [2025] UKSC 22 (4 June 2025) — The 2001 approach is binary: a lender is on inquiry or not, and in a non-commercial joint loan with more than a trivial part paying one borrower's debts it is on inquiry and must follow the protocol — section 01.
// QUESTIONS PEOPLE ASK
- Does a guarantor have to get independent legal advice?
- Not as a general rule of law, but lenders commonly insist on it where the guarantor is not part of the business, because it protects them if the guarantee is challenged. In Australia, guarantees covered by the Banking Code of Practice must carry a notice recommending independent legal and financial advice, and confirmation that legal advice was received lets the bank accept the guarantee before the Code's waiting period ends.
- Can the borrower's lawyer give a guarantor independent legal advice?
- It depends on the market and the lender. In England and Wales a solicitor may advise the guarantor while also acting for the borrower, if satisfied that this is in the guarantor's interest and does not create a conflict, and must meet the guarantor without the borrower present. Many lenders, particularly in New Zealand and Australia, ask for a lawyer who acts for the guarantor alone.
- Can a guarantee be set aside even with an independent legal advice certificate?
- Yes, though it is harder. A lender cannot rely on the certificate if it knew, or knew facts from which it should have realised, that the guarantor was not properly advised, or if it withheld information the lawyer needed. Nor does a certificate protect the lender against its own misrepresentation or pressure. Where the lender did its part and the lawyer's advice was simply poor, the guarantor's remedy usually lies against the lawyer, and the guarantee stands.
- What does an independent legal advice certificate say?
- It identifies the guarantor, the lawyer and the documents, and states that the lawyer explained their nature and effect, including the debt and any limit they secure and whether they cover future lending. It records that the advice was given without the borrower present and that the guarantor appeared to understand and to sign freely. Lenders usually supply their own form.
